Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and NOCTADIGITAL LP, doing business as Axxx.Ai ("Axxx.Ai", "Company", "we" ,"us" or "our"), and govern your access to and use of axxx.ai and any related websites, mobile applications, products, content, features, and services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" will refer to both you and that entity.
1. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that:
you are at least 18 years old;
you have the legal capacity to enter into these Terms; and
your use of the Services does not violate any applicable law or regulation.
We do not permit minors to use the Services.
2. Agreement to View Explicit Material
The Services may include AI-generated graphic visual depictions and descriptions of nudity and sexual activity, intended for adults only. By accessing or using the Services, you confirm that:
you are at least 18 years old and of legal age in your jurisdiction to view adult-oriented material;
you wish to view such material and are not offended by it; and
you are not accessing the Services from a location where adult content is prohibited or restricted.
If you do not meet these requirements, or if you do not wish to be exposed to such material, you must not access or use the Services and must leave now.
All characters and depictions on the Services are entirely fictional and AI-generated and do not portray any real individuals. Further details are set out in our 18 U.S.C. 2257 Exemption statement.
3. Territory
The Services are intended for use only in jurisdictions where their content is lawful. We make no representation that the Services or their content are appropriate or available in your location. If you access the Services, you do so on your own initiative and are responsible for complying with all laws applicable in your jurisdiction. We may restrict or withdraw access to the Services in any territory at our discretion.
4. Accounts and Registration
To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep that information updated.
You are responsible for:
maintaining the confidentiality of your login credentials;
all activity that occurs under your account; and
notifying us promptly at support@axxx.ai if you suspect unauthorized use of your account or any security breach.
We may suspend or terminate accounts that contain false information, violate these Terms, or create risk for the Services or other users.
5. Description of the Services
Axxx.AI provides AI-powered interactive services, which may include conversational experiences, AI-generated text, images, voice, characters, roleplay, recommendations, and other synthetic or automated outputs ("Outputs").
The Services are provided for entertainment, informational, and personal use only unless we expressly state otherwise.
You understand and agree that:
Outputs are generated by artificial intelligence;
Outputs may be fictional, inaccurate, incomplete, misleading, or offensive;
Outputs do not represent human judgment, professional advice, or factual guarantees;
Outputs are generated automatically and do not represent the views or opinions of NOCTADIGITAL LP; and
you are solely responsible for evaluating and relying on any Output.
The Services are not intended to provide medical, legal, financial, tax, mental health, or other regulated professional advice.
6. User Content
You may submit prompts, messages, images, audio, profile details, feedback, and other materials through the Services ("User Content").
You retain ownership of your User Content, subject to the rights you grant to us in these Terms.
You represent and warrant that:
you own or control all rights necessary to submit the User Content;
your User Content does not infringe, misappropriate, or violate any third-party rights;
your User Content does not violate any law, regulation, or these Terms; and
you have obtained all necessary permissions from any person whose likeness, voice, name, or personal data appears in your User Content.
7. License Granted to Us
By submitting or uploading User Content, you grant NOCTADIGITAL LP a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, display, perform, distribute, and otherwise use that User Content as necessary to:
operate, provide, maintain, and improve the Services;
develop new features and products;
moderate safety, trust, and abuse issues;
comply with legal obligations; and
enforce these Terms.
If you make content public or share it with others through the Services, you also grant us the rights needed to display and distribute that content within the Services.
8. AI Characters and Outputs
Where the Services allow you to create or customize AI characters, bots, personas, or profiles ("Characters"), you retain any rights you may have in the original text prompts and creative elements you contribute, subject to these Terms.
All Outputs generated through the Services, together with any Characters you create or customize, are owned by NOCTADIGITAL LP. To the extent any rights in those Outputs or Characters would otherwise vest in you, you hereby assign them to NOCTADIGITAL LP. All pre-built Characters, together with their names, personas, and associated content, are the exclusive property of NOCTADIGITAL LP or its licensors, and you acquire no ownership rights in them through your use of the Services.
NOCTADIGITAL LP grants you a limited, personal, non-exclusive, non-transferable license to access and use the Outputs generated for you for your own personal, non-commercial purposes through the Services, subject to these Terms.
As between you and us, and to the extent permitted by applicable law:
we may use prompts, interactions, metadata, and Outputs to operate, secure, improve, and train the Services, unless otherwise stated in a separate product agreement or feature setting;
we do not guarantee exclusivity, originality, or intellectual property protection in any Output; and
similar or identical Outputs may be generated for other users.
You must use any Outputs only for lawful purposes and in accordance with these Terms.
9. Prohibited Conduct
You agree not to use the Services to:
violate any applicable law or regulation;
exploit, harm, or attempt to exploit or harm minors;
harass, threaten, abuse, stalk, defame, or bully others;
generate or distribute illegal, fraudulent, deceptive, or harmful content;
impersonate any person or entity or misrepresent affiliation;
infringe intellectual property, privacy, publicity, or other rights;
upload malware, viruses, or harmful code;
interfere with or disrupt the Services or related systems;
scrape, crawl, harvest, or extract data from the Services by automated means without authorization;
bypass security or access restrictions;
reverse engineer, decompile, or attempt to derive source code except where prohibited by law;
use the Services to create non-consensual sexualized content, exploitative content, or abusive deepfakes;
use the Services for spam, scams, phishing, or fraud;
generate content that promotes terrorism, violent extremism, or serious criminal activity; or
use the Services in a way that could expose us, our users, or third parties to harm or liability.
We may investigate violations and take action including removing content, suspending accounts, terminating access, or reporting conduct to law enforcement.
10. Content Moderation and Monitoring
We screen all prompts and generated content through automated moderation before it is generated or made available on the Services, and we maintain active monitoring systems to promptly identify and remove prohibited content. This monitoring covers AI chat messages and AI-generated images.
Moderation is carried out through a combination of:
automated tools and filters that screen prompts, messages, images, and other Outputs for violations in real time before they are shown;
human review of public content, flagged content, reported Characters, and edge cases; and
proactive audits and rate limits that restrict prompt patterns known to lead to violations.
Content that fails moderation is blocked, withheld from publication, or removed. Where we identify content or conduct that is inappropriate, objectionable, or in violation of these Terms, we may remove the content, restrict or disable access to it, and suspend or terminate the account involved. 11. Intellectual Property Rights
The Services, including our software, design, branding, logos, text, graphics, interfaces, and underlying technology, are owned by or licensed to NOCTADIGITAL LP and are protected by applicable intellectual property and other laws.
Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, sell, license, or exploit any part of the Services without our prior written consent.
Axxx.ai and related names, logos, and branding are our trademarks or the trademarks of our licensors.
12. Third-Party Services
The Services may contain links to third-party websites, tools, payment processors, analytics providers, or other services. We do not control and are not responsible for third-party services, their content, or their policies.
Your use of third-party services is governed by their own terms and policies.
13. Payments and Subscriptions
Through the Services, you can purchase subscriptions, virtual goods, and other paid features using one of the payment methods made available on the Website from time to time. All prices and fees for each payment method are clearly displayed before you complete a purchase.
To make a purchase, you may be asked to provide the information needed to process and authorize the transaction, including your name, billing address, card number, expiration date, security code, or equivalent details for other payment methods. You represent and warrant that you have the legal right to use the payment method you provide and that the information you supply is true and correct. We may use third-party payment processors to handle or facilitate payments, and by submitting your payment information you authorize us to share it with those processors as necessary.
Card payments are processed through Verotel/CardBilling, our authorized billing partner for credit and debit card transactions. We reserve the right to refuse, cancel, or terminate any purchase at any time and for any reason in our sole discretion, including due to product or service unavailability, errors in the description or price of a product or service, or errors in your order.
Subscription prices are stated on the Website and may change from time to time. Where required by applicable law, we will provide notice of any price change.
Unless you cancel through your account, your subscription automatically renews at the end of each subscription term for a new term of the same length, and your payment method will be charged the applicable subscription fee at the time of renewal.
If a subscription was purchased using a credit or debit card, it will automatically renew whether it was purchased on a monthly or annual basis. If you cancel, the current term is treated as paid, and only subsequent terms are cancelled.
You may cancel your subscription at any time. It will remain active until the end of the term you have already paid for; the current term is considered provided and cannot be cancelled, and no further charges will be taken from your payment method after the paid term ends.
You agree not to report any payment method used with us as fraudulent, lost, or stolen, and not to report any charge by us as unauthorized, unless you have a good-faith reason to believe it is in fact so. Absent good faith, in the event of any such report you will be liable to us for the disputed charge or obligation plus an administrative fee of USD 100. This does not limit our other rights or any other liability you may have, including for breach of any other provision of these Terms.
14. Refunds and Cancellation
If we terminate your right to use the Services because of a breach of these Terms, you will not be entitled to a refund. Except where required by applicable law, fees are non-refundable. Any refunds are otherwise governed by the additional rules, terms, and conditions posted on the Website or imposed by any payment processor, as amended from time to time. Full details, including quality guarantees, subscription cancellations, and withdrawal rights, are set out in our Refund Policy.
15. Termination
We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if:
you violate these Terms;
we suspect fraud, abuse, or unlawful activity;
required by law, regulation, or court order; or
we decide to discontinue all or part of the Services.
You may stop using the Services at any time.
Upon termination, provisions that by their nature should survive will survive, including provisions related to ownership, licenses, disclaimers, limitations of liability, indemnity, dispute resolution, and any accrued rights.
16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOCTADIGITAL LP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
WE DO NOT WARRANT THAT:
THE SERVICES WILL MEET YOUR REQUIREMENTS;
ANY OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR APPROPRIATE;
ANY DEFECTS WILL BE CORRECTED; OR
THE SERVICES WILL ALWAYS BE AVAILABLE OR FREE FROM HARMFUL COMPONENTS.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOCTADIGITAL LP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 6 MONTHS BEFORE THE CLAIM AROSE;
OR USD 100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
18. Indemnification
You agree to defend, indemnify, and hold harmless NOCTADIGITAL LP, its affiliates, and their respective officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
your use of the Services;
your User Content;
your Characters or Outputs used by you;
your violation of these Terms; or
your violation of any law or third-party right.
19. Governing Law
These Terms are governed by the laws of United Kingdom, without regard to conflict of law principles.
Any dispute not subject to arbitration, if arbitration is used, will be resolved exclusively in the courts located in United Kingdom, and you consent to the jurisdiction of those courts.
20. Changes to the Services or Terms
We may modify the Services or these Terms from time to time. If we make material changes, we will post the updated Terms and update the Effective Date above. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.
If you do not agree to the revised Terms, you must stop using the Services.
21. Miscellaneous
These Terms constitute the entire agreement between you and NOCTADIGITAL LP regarding the Services and supersede any prior agreements relating to the same subject matter.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver of that provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
22. Complaints and Content Reports
We are committed to handling complaints and content reports fairly, consistently, and promptly. If you wish to raise a concern about the Services or any content available on them, you can contact us at any time.
You can submit a complaint or report content through any of the following channels:
by email to support@axxx.ai;
through the "Contact Us" section within the Services; or
using any in-Service reporting tool available next to the relevant content.
To help us investigate, please include your name and contact details, a description of the issue with the date and time if relevant, a link to or identifier of the content concerned, and any supporting documentation or screenshots.
If illegal or unconsented content is reported, it will be removed within 24 hours of being reported and verified.
All other complaints are dealt with in a fair and consistent manner, with the aim of resolving them to the complainant's satisfaction whenever possible within 5 days.
